IMPORTANT - READ THIS BEFORE INSTALLING: BY INSTALLING, USING, OR REPRODUCING THIS SOFTWARE AND ANY ASSOCIATED MATERIALS (COLLECTIVELY, THE "SOFTWARE"), YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THEM, DO NOT INSTALL OR USE THIS SOFTWARE.
LICENSE: Subject to the Restrictions below, Intel Corporation ("Intel") grants you the following non-exclusive, royalty-free right to copy and use the Software for your personal use and to redistribute it in binary form with your product.
RESTRICTIONS:
You agree to:
a. distribute the Software to third parties who agree to be bound by these terms and conditions;
b. make reasonable efforts to discontinue distribution of the Software upon Intel's release of an update, upgrade or new version of the Software and to make reasonable efforts to distribute such updates, upgrades or new versions to your customers who have received the Software herein;
c. be solely responsible to your customers for any update or support obligation or other liability which may arise from your distribution of the Software;
d. prohibit disassembly, decompilation and reverse engineering of the Software.
You may not:
a. reverse-assemble, reverse-compile, or otherwise reverse-engineer any software provided solely in binary form;
b. copy the Software, in whole or in part, except as provided in this Agreement;
c. make any statement that your product is "certified," or that its performance is guaranteed, by Intel;
d. use Intel's name or trademarks to market your product without written permission.
OWNERSHIP AND COPYRIGHT OF SOFTWARE: Title to the Software and all copies thereof remain with Intel or its suppliers. The Software is copyrighted and are protected by United States copyright laws and international treaty provisions. You will not remove any copyright notice from the Software. You agree to prevent any unauthorized copying of the Software. Except as expressly provided herein, Intel does not grant any express or implied right to you under Intel patents, copyrights, trademarks, or trade secret information.
LIMITED MEDIA WARRANTY: If the Software has been delivered by Intel on physical media, Intel warrants the media to be free from material defects for a period of ninety (90) days after delivery from Intel. If such a defect is found, return the media to your retailer or to Intel for replacement, alternate delivery, or refund of the purchase price, if any, of the Software as Intel may select.
WARRANTY DISCLAIMER: EXCEPT AS PROVIDED ABOVE, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT, OR FITNESS FOR ANY PARTICULAR PURPOSE, OR ARISING OUT OF ANY PROPOSAL, SPECIFICATION OR SAMPLE. Intel does not warrant or assume responsibility for the accuracy or completeness of an information, text, graphics, links or the items contained within the Software.
INDEMNIFICATION: YOU SHALL INDEMNIFY, HOLD HARMLESS, AND DEFEND INTEL AND IT SUPPLIERS FROM AND AGAINST ANY CLAIMS OR LAWSUITS, INCLUDING ATTORNEY'S FEES, THAT ARISE OR RESULT FROM YOUR DISTRIBUTION OF ANY PRODUCT INCORPORATING THE SOFTWARE IN WHOLE OR IN PART.
LIMITATION OF LIABILITY: NEITHER INTEL NOR ITS SUPPLIERS SHALL BE LIABLE FOR ANY DIRECT, INCIDENTAL AND SPECIAL DAMAGES HEREUNDER INCLUDING WITHOUT LIMITATION, DAMAGES DUE TO LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, WHETHER ARISING OUT OF CONTRACT, NEGLIGENCE, TORT OR UNDER ANY WARRANTY, EVEN IF INTEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL INTEL'S LIABILITY FOR DAMAGES EXCEED THE AMOUNT PAID FOR THE SOFTWARE. INTEL NEITHER ASSUMES NOR AUTHORIZES ANYONE TO ASSUME FOR IT ANY OTHER LIABLITIES.
TERMINATION OF THIS LICENSE: Intel may terminate this license at any time if you are in breach of any of its terms and conditions. Upon termination, you will immediately destroy the Software or return all copies of the Software to Intel along with any copies you have made.
U.S. GOVERNMENT RESTRICTED RIGHTS: The Software is provided with "RESTRICTED RIGHTS." Use duplication or disclosure by the Government is subject to restrictions set forth in FAR52227-14 and DFAR252227-7013 et. seq. or its successor. Use of the Software by the Government constitutes acknowledgment of Intel's rights in them.
EXPORT LAWS: You agree that the distribution and export/re-export of the Software is in compliance with the laws, regulations, orders or other restrictions of the U.S. Export Administration Regulations and of the local country
APPLICABLE LAWS: This Agreement is governed by the laws of the State of California and the United States, including patent and copyright laws. Any claim arising out of this Agreement will be brought in Santa Clara County, California.
